Waaree Energies to merge Indosolar into itself
Waaree Energies' board has approved a draft scheme to amalgamate its subsidiary Indosolar, consolidating solar cell and module manufacturing into a single entity. Under the plan, Indosolar shareholders will receive one Waaree share for every 11 shares held, and the promoter stake will dip slightly. The merger is subject to approvals from stock exchanges, the National Company Law Tribunal, and shareholders.
The merger brings together two solar photovoltaic module producers under one corporate roof, with Waaree additionally contributing its solar cell manufacturing and project development operations. Indosolar shareholders will receive one Waaree share for every 11 held, and the subsidiary will be dissolved without formal winding-up proceedings once the scheme takes effect.
The consolidation requires clearance from the Bombay and National Stock Exchanges, the National Company Law Tribunal, and relevant shareholders and creditors. Separately this month, Waaree's subsidiary Waaree Forever Energies secured a letter of award from Solar Energy Corporation of India for a 700 MW solar project paired with a 700 MW/2,800 MWh storage system in Solapur, Maharashtra.
This merger could streamline India's domestic solar manufacturing landscape, potentially lowering production costs and improving supply chain reliability for downstream project developers. Utilities and consumers may benefit from more stable module pricing as operations consolidate. The company's parallel expansion into large-scale solar-plus-storage projects could support grid integration of renewable power, affecting electricity access and reliability for households and businesses in Maharashtra and beyond.
