CareTrust REIT Expands British Portfolio With $1.4 Billion LNT Deal

CareTrust REIT entered a $1.4 billion partnership with United Kingdom care-home operator LNT to develop and acquire 45 new residential facilities totaling 2,970 units. The company acquired 24 lease-up properties immediately and will purchase 21 additional developments in 2027, with the arrangement allowing for operational stability before transitioning to CareTrust's management platform. The transaction is projected to increase the company's senior housing portfolio mix from 26% to 40% and senior housing operating partnerships from 2% to 20% of net operating income, prompting CareTrust to raise its 2026 financial guidance.
CareTrust REIT's agreement with LNT represents a significant shift in the company's asset composition and geographic reach. By acquiring 45 newly constructed care facilities across the United Kingdom, CareTrust is substantially increasing its exposure to senior housing operations, with the SHOP segment expected to grow from a minor 2% to one-fifth of the company's net operating income following full conversion.
The deal's structure addresses a traditional challenge in real estate investment trusts: lease-up periods typically depress earnings as new properties fill occupancy slots. Under this arrangement, LNT's operating subsidiary manages the stabilization phase while CareTrust collects rental income, deferring the financial strain until properties reach maturity. This mechanism allows the REIT to scale senior housing operations without the customary earnings dilution.
