General Mills finalizes buyback offers for senior notes

General Mills reported the pricing, expiration, and results of its cash tender offers for multiple series of senior notes. The offers ended on October 9, 2026, with some tendered notes accepted at prices below their principal amount and others left unpurchased. Withdrawal rights also expired at that time.
General Mills launched the offers under an October 5, 2026 purchase document. They closed at 5 p.m. New York time on October 9, 2026, when withdrawal rights also ended. D.F. King served as tender and information agent.
Accepted amounts varied by series. Prices per $1,000 principal ranged from $605.13 for 3.000% notes due 2051 to $922.76 for 2.875% notes due 2030. The 2030 series was prorated at about 51.55%, while $55.731 million of 5.400% notes due 2040 were tendered but none accepted.
The tender results may affect bondholders who chose to sell, locking in prices below face value, while remaining investors face a smaller pool of those notes. General Mills could reduce future interest obligations, potentially affecting its financial flexibility. That may influence employees, suppliers, and consumers only indirectly if capital allocation or product pricing changes. Broader market impact is likely limited because this is a single issuer's debt management.
