Community Heritage Financial approves buyback of about 5% of shares

Community Heritage Financial adopted a stock repurchase program authorizing purchases of up to 147,000 common shares, approximately 5.0% of its 2.95 million shares outstanding. The authorization expires August 21, 2027, and purchases may be made at management's discretion without obligating the company to buy shares.
Community Heritage Financial is the Middletown, Maryland-based parent of Middletown Valley Bank, which offers personal and business banking plus residential mortgage lending through MVB Home Loans. Its shares trade under OTCID: CMHF.
The board authorized repurchases of as many as 147,000 shares, roughly 5.0% of 2.95 million outstanding, through August 21, 2027. Management may buy in the open market or private transactions, subject to market, regulatory, capital and performance considerations, and can pause or end the program with no requirement to complete purchases.
The buyback could affect the bank’s shareholders, employees, customers and local communities by influencing share liquidity and capital allocation. A smaller share count may support per-share metrics, while repurchases could reduce funds available for lending, branch services or other investments. Because the program is discretionary and conditional, any societal effect may be limited and depends on whether and how management uses the authorization.
